ARTICLES OF ASSOCIATION

 

Article 1) DENOMINATION

1.1       A Foundation called “FONDAZIONE GUIDO BERLUCCHI – ORGANIZZAZIONE NON LUCRATIVA DI UTILITA’ SOCIALE (ONLUS), pursuant to art. 10 et seq. of Legislative Decree no. 460 of 4/12/1997, is hereby set up by Mr Guido Berlucchi.

 

Article 2) REGISTERED OFFICE

2.1    The Foundation has its registered office at 4 Via Cavour, Borgonato di Cortefranca (BS) and may operate solely within the Lombardy region in the places established by the Board of Directors.

 

Article 3) PURPOSE

3.1   The Foundation is a no-profit organisation.

3.2  The purpose of the Foundation, within a framework of social development and solidarity is to promote high-profile studies and scientific and educational research connected with neoplastic and associated disorders, at public or private Institutes, Bodies and Entities in Italy and abroad, of considerable scientific value and proven methodological rigour.

3.3  The Foundation may also promote and finance the collection and processing of clinical and experimental data regarding said neoplastic disorders, with focus on treatment options and prevention and on immunological studies. To this end, the Foundation may also:

- promote, finance, implement and develop refresher courses, and organise and attend conventions in Italy and abroad;

- promote activities and programmes in support of the activities of Institutes or Bodies involved in the area of study and research on neoplastic and associated disorders;

- establish, promote and fund study and scientific research grants and awards for scientific work in this field, assigned to deserving subjects, taking one or more of the following requisites into account: academic qualifications, scientific qualifications, past and planned research work, financial standing.

Such study grants will be announced and publicized using the method deemed the most convenient.

3.4 The foundation may not engage in activities other than the institutional activities detailed above, with the exception of directly connected activities, and in all cases in accordance with the conditions and limits established by Legislative Decree no. 460/97 and any other legal provisions on the subject.

 

Article 4)  ASSETS

4.1 The Foundation’s assets comprise the following:

-    initially the assets in existence at the time of the establishment of the Memorandum of Association, to which these Articles of Association are attached as an integral and substantial part thereof;

-    subsequently the tangible and intangible assets received by the Foundation by way of inheritance, legacies, donations and other contributions paid by individuals and/or public or private Bodies wishing to help support the charity organisation as and how prescribed by the applicable laws.

4.2       The Board of Directors will invest the Foundation’s money in the safest and most profitable way, and it will administrate in the most opportune and convenient way any movable and immovable assets received by the Foundation.

4.3       Proceeds from management of the Foundation’s assets and contributions and donations given by supporters specifically to achieve the above aims will be used for this purpose by the Foundation in the current financial year and subsequent financial years.

 

Article 5) FINANCIAL MEANS

5.1  The Foundation pursues its aims with the use of:

- income from property and investments;

- contributions from individuals and public or private legal entities;

- income, bequests and donations not allocated under assets;

- fees and earnings resulting from services rendered.

5.2  Profits and surplus will be used for the above institutional activities and ones directly associated with them.

5.3  The direct or indirect distribution of profits and surplus, as well as funds, reserves and capital during the life of the Foundation, is prohibited, except in the cases imposed or allowed by law, and in accordance with art. 10, subsection 6, of Legislative Decree no. 460 of 4/12/1997.

 

Article 9) TECHNICAL AND SCIENTIFIC COMMITTEE

9.1       The Foundation may be assisted by a Technical and Scientific Committee having an advisory function.

9.2       The Technical and Scientific Committee comprises two to twenty members appointed by the Board of Directors from among those who have distinguished themselves in the field of activities connected with the purpose of the Foundation. Appointed members accepting their post will hold office for 4 years, subject to resignation or dismissal, and are eligible for re-election.

9.3       The Committee is chaired by the President of the Foundation or by a delegated Director.
